      The Terms of Service, known as “Terms” or “TOS,” form a legally binding agreement between the user and THEORYbee, Inc. (“THEORYbee”) relating to your use of the website at www.theorybee.com and all related services that may be provided by Theorybee (collectively the “THEORYbee Service”). If you do not agree to these Terms as they currently exist or as they may be amended from time to time, you are not authorized to use the THEORYbee service.

      You understand that by checking the "agree to TOS" checkbox when creating your account, you agree to be legally bound by these terms in their entirety, and that you do so under your own free will.

      The content posted by users on this website reflects the opinions and thoughts of those users and does not necessarily reflect the viewpoint of Theorybee.

      We provide THEORYbee “as-is” without any warranty of any kind, express or implied, including the implied warranties of merchantability or fitness for a particular purpose.

      The TOS may be changed from time to time, and it is your responsibility to keep track of these changes.

      THEORYbee provides an on-line chat room and electronic bulletin board for transmission of messages among users in one or more fields of general interest. You understand that THEORYbee may, but is not obligated to, provide any services. Anything beyond that purpose is considered a courtesy, and that you absolve Theorybee from any further obligation.

    Rules

      The THEORYbee Service is governed by a set of rules, which shapes both our decision and yours. Failure to comply with these rules can result in censure, probation, or termination of your account. These rules are administered by Advocates, which is our term for moderators.
    2. 2.2
      Below is a list of content that will not be allowed, unless approved and documented evidence by an Advocate is given:
      1. (A)
        Language that THEORYbee, in its sole discretion, deems offensive or inappropriate including, but not limited to, content containing racist, sexist, or ethnic remarks that do not contribute to healthy discussion.
      2. (B)
        Pornographic material
    3. 2.3
      Below is a list of content that will not be allowed at all:
      1. (A)
        Material you do not have permission to use, including material in which others have copyright, right of publicity or other rights unless you have obtained the necessary permissions to use such material.
      2. (B)
        Any other illegal content, as defined by the laws of the United States of America or the laws of other jurisdictions.
    4. 2.4
      Theories and ideas that each user posts remains his/her intellectual property, unless otherwise stated by the user.
    5. 2.5
      You will not take credit for another person’s work, whether it be a theory or idea. If you wish to use another user’s work, it must be properly cited.
      1. (A)
        If the user asks you to remove their intellectual property from your post, you must comply with the request immediately, unless you believe you have a fair use or other right to retain such material in your post. Users may also ask THEORYbee to remove content from the THEORYbee site using the DMCA takedown procedure described in these Terms.

      We respect your right to free speech within the aforementioned limitations, and require that you respect the right to free speech of others.
  3. 3.0
    Purpose
    1. 3.1
      The purpose of categories is to provide a forum to the public user-base of THEORYbee where interaction may occur.
    2. 3.2
      The purpose of societies is to provide a place for a group of users who share the same interest. You understand it is the society administrator and appointed moderators responsibility to monitor the occurrences within the society, and to abide by the TOS.

    Privacy
    1. 4.1
      "Personal Information" is information that you provide to us which personally identifies you, such as your name, email address, or other data, which can be reasonably linked to such information by THEORYbee. Personal Information is different than Aggregate Non-Personal Information. "Aggregate Non-Personal Information" is information that is recorded about users and collected into groups so that it no longer reflects or references an individually identifiable user. We do not collect any Personal Information from a visitor to the THEORYbee site unless that visitor expressly and intentionally provides it. THEORYbee does not collect any Personal Information revealing political opinions, religious or philosophical beliefs, trade union membership, health, or sex life, unless such information is required to comply with applicable laws or regulations. If you are simply browsing the THEORYbee site, we do not gather any Personal Information about you. THEORYbee may collect Aggregate Non-Personal Information to improve the services offered through the THEORYbee site or for any other reason.

      THEORYbee may automatically collect your browser type and browser software version to tailor the presentation of the THEORYbee site to your platform and to maintain a record of your activity on the site. THEORYbee may also use cookies to enable users to specify unique preferences and to track user trends and patterns. Users always have the option of disabling cookies via their browser preferences. If you disable cookies on your browser, please note that some parts of our site may not function or may be considerably slower. As an automatic process, our web server software may record a log file of IP addresses that access the THEORYbee site. We may also collect IP address information but do not ordinarily link IP addresses to users' Personal Information, other than for statistical analysis as needed. However, we can and will use IP addresses to identify a user when we, in our sole discretion, determine that it is necessary to enforce compliance with these Terms or to protect our service, site, customers or others.

      THEORYbee may send newly registered users a welcome email to verify their email addresses and other registration information. We may also communicate with registered users via personal emails. Registered users cannot unsubscribe from service announcements that discuss important upcoming changes that affect their THEORYbee accounts.
    4. 4.4
      THEORYbee is not responsible for the privacy practices or the content of any other web sites to which the THEORYbee site links or which link to the site. By clicking on a link, logo, advertisement or other item, please note that you may no longer be on the THEORYbee site and that other site may have different Terms and policies regarding user privacy.
    5. 4.5
      Your password is the key to your account. Use unique numbers, letters and special characters, and do not disclose your THEORYbee password to anyone. THEORYbee will not contact you via email to ask for your username or password. If you share your username and password or your Personal Information with others, remember that you are responsible for all actions taken in the name of your account. If your password has been compromised for any reason, you should immediately notify THEORYbee and change your password.

      We treat data as an asset that must be protected and use tools (encryption, passwords, physical security, etc.) to protect your Personal Information against unauthorized access and disclosure. However, as you probably know, third parties may unlawfully intercept or access transmissions or private communications, and other users may abuse or misuse your Personal Information that they collect from the site. We will use commercially reasonable methods to keep Personal Information securely in our files and systems. Please note that with current technology, we cannot guarantee the security of your data from all possible attacks or intrusions on our servers or guarantee the security of your data as it travels over the Internet. Thus, you hereby release THEORYbee from liability for any such attacks or intrusions that might compromise the security of your data.
    7. 4.7
      Though we make every effort to preserve user privacy, we may need to disclose your Personal Information when we have a good-faith belief that such action is necessary to comply with applicable law or a current judicial or administrative proceeding, a court order or legal process. We will notify you before doing so to give you an opportunity to object to the disclosure of your Personal Information (unless such notification is prohibited by law). THEORYbee has no liability for disclosure of your Personal Information, if THEORYbee has a good faith belief that it is required by law to disclose such information.
    8. 4.8
      For the moment THEORYbee does not send out newsletters or emails except for password recovery and welcome messages upon registration. These messages, and any other user initiated requests resulting in an email cannot be avoided. However, if you wish to be removed from our email list, please email (UNSUBSCRIBE@theorybee.com), with the word "unsubscribe" in the subject of the email. Please know that you will likely need to de-select the option inside your account should it become available in the future.

      If you have any questions about this Privacy Agreement or the practices of the THEORYbee site, you may contact us by utilizing the Helpdesk or via email (relations@theorybee.com).
  5. 5.0
    Disputes
    1. 5.1
      Should any dispute arise between you and another user or between you and THEORYbee, you will seek first to solve the issue peaceably between yourself and THEORYbee or the other party.
    2. 5.2
      If you feel the need to bring your issue to court, you agree to grant THEORYbee and any deputies it appoints the right, but not the obligation, to hold a meeting with the involved parties and act as a mediator, if THEORYbee, at its sole discretion, determines that mediation through THEORYbee would be helpful.

    Intellectual Property Rights
    1. 6.1
      All of THEORYbee’s inventions, trademarks, copyrights and other intellectual property of any kind as such rights are defined in any jurisdiction throughout the world remain the property of THEORYbee and no license or other rights are granted to THEORYbee’s intellectual property, except as expressly provided in these Terms.
    2. 6.2
      Posting content using the THEORYbee service does not transfer any intellectual property rights in the content, and you will continue to own all intellectual property rights you possess in any content you post.
    3. 6.3
      By making content available through the THEORYbee service, you represent and warrant that you have all the intellectual property and other rights necessary to make this content available.

    THEORYbee does not provide legal services

      THEORYbee is not a legal service or a law firm, and any information provided to you by THEORYbee or any of its users is not and should not be considered to be legal advice provided by THEORYbee.
    2. 7.2
      Your disclosure of information to THEORYbee could have an impact on certain intellectual property rights you may have in various jurisdictions throughout the world. If you have reason to believe your submission of information to THEORYbee may constitute a public disclosure or other similar action that could prevent you from having or obtaining intellectual property rights, you should consult your own legal counsel to determine if you should submit information using the THEORYbee service.

    Limitation on Liability, Indemnification and Warranty Disclaimer

      IN NO EVENT SHALL THEORYBEE OR ITS OFFICERS, DIRECTORS, AGENTS OR EMPLOYEES BE LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT, INCLUDING INCIDENTAL OR CONSEQUENTIAL DAMAGES SUFFERED BY YOU OR ANY THIRD PARTY, ARISING FROM BREACH OF WARRANTY OR BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL GROUND OF ACTION RELATING TO OR ARISING FROM YOUR USE OF THE THEORYBEE SERVICE. NO AGENT OF THEORYBEE IS AUTHORIZED TO PROVIDE ANY WARRANTIES RELATING TO YOUR USE OF THE THEORYBEE SERVICE. YOU ACKNOWLEDGE AND AGREE THAT THEORYBEE’S AGREEMENT TO MAKE THE THEORYBEE SERVICE AVAILABLE TO YOU DOES NOT INCLUDE ANY CONSIDERATION FOR ASSUMPTION BY THEORYBEE OF THE RISK OF ANY OF YOUR DAMAGES, REGARDLESS OF WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL OR ANY OTHER DAMAGES WHICH MAY ARISE IN CONNECTION WITH YOUR USE OF THE THEORYBEE SERVICE.

      You agree to defend, indemnify and hold THEORYbee and its officers, directors, agents, and employees, harmless against all costs, expenses and losses (including reasonable attorney fees and costs) incurred through claims of third parties against any of them relating to your use of the THEORYbee Service.

      THE THEORYBEE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THEORYBEE MAKES NO PROMISES, REPRESENTATION OR WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE THEORYBEE SERVICE OR INFORMATION PROVIDED ON THE THEORYBEE SITE, INCLUDING THEIR ACCURACY, OPERATION, CONFORMITY TO ANY REPRESENTATION OR DESCRIPTION, OR THE EXISTENCE OF ANY LATENT OR PATENT DEFECTS, AND THEORYBEE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, QUIET ENJOYMENT, WORKMANLIKE EFFORT, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES RELATING TO ENCUMBERANCES OR LIENS, AND, UNDER THE LAW OF THE UNITED STATES, THE IMPLIED CONDITIONS OF SATISFACTORY QUALITY AND ACCEPTANCE AS WELL AS ANY LOCAL JURISDICTIONAL ANALOGUES TO THE ABOVE AND OTHER IMPLIED OR STATUTORY WARRANTIES. THEORYBEE MAKES NO PROMISES, REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE THEORYBEE SERVICE WILL BE UNINTERRUPTED OR SECURE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED USING THE THEORYBEE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. AS A RESULT, SOME OF THE EXCLUSIONS ABOVE MAY NOT APPLY TO YOU.
  9. 9.0
    DMCA Takedown Procedure
    1. 9.1
      THEORYbee respects the intellectual property rights of others, and asks that everyone using the THEORYbee site do the same. Anyone who believes that their work has been reproduced on the THEORYbee site in a way that constitutes copyright infringement may notify THEORYbee’s designated agent for copyright infringement claims in accordance with Title 17, United States Code, Section 512(c)(2), by providing the following information:
      1. (A)
        Identification of the copyrighted work you claim has been infringed;
      2. (B)
        Identification of the material that you claim is infringing and needs to be removed, including a description of where it is located on the THEORYbee site so we can locate it;
      3. (C)
        Your address, telephone number, and, if available, e-mail address, so that we may contact you about your complaint; and
      4. (D)
        A signed statement that the above information is accurate; that you have a good faith belief that the identified use of the material is not authorized by the copyright owner, its agent, or the law; and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf in this situation.

      Notices of copyright infringement claims should be sent to THEORYbee’s designated agent for copyright infringement claims as follows:

      If you give notice of copyright infringement by text e-mail, THEORYbee’s designated agent for copyright infringement claims may, but is not required to, begin investigating the alleged copyright infringement; However, we must receive your signed statement by mail or as a signed attachment to your e-mail before we are required to take any action.
